## Applicability and acceptance

By accessing or using the website elvina.ai, the conversation with Elvina on it, its forms or the first paid step offered there (collectively, the "Services") in any manner, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Services. If you accept these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SmartExpert Inc. regarding your use of the Services. A pilot, a subscription or another engagement requires an agreed scope, price, responsibilities, data-processing terms and acceptance criteria in writing; where that written agreement and these Terms differ, the written agreement governs.

## Definitions

The terms below have these meanings in these Terms.

- Company, we, our or us: SmartExpert Inc. (d/b/a "ContentBuilder").
- Elvina: the digital employee (AI) that SmartExpert Inc. offers under the public product name Elvina.
- User or you: an individual or organization using the Services.
- Input: what you type, attach, say in a voice call or enter in a form.
- Output: the replies, plans, samples and materials the Services produce from your Input.
- Credits: the units Elvina’s work is measured in, bought in packs or included in a plan.
- Customer agreement: a written agreement with SmartExpert Inc. for a pilot, a subscription or another engagement.

## Elvina is an AI, and people stand behind her

Elvina is a digital employee (AI), not a person. She answers in the chat and in voice calls with the help of AI models from Anthropic and, for voice, OpenAI. People on the Elvina team stand behind her work: they hold the calls you book with our team, handle payments, deliver finished materials, and can join a conversation when you ask for a person. Their replies in the chat are signed as our team.

## Privacy and data processing

Our data practices are described in our Privacy Policy. For a customer agreement, data-processing terms are agreed in writing as part of it, as required under applicable data protection laws (for example the GDPR, the UK GDPR and the Swiss FADP). We process data under the legal bases of contract performance, legitimate interests (security and improvement) and consent where the law requires it. Website and security logs are kept for up to 30 days; the Privacy Policy explains how long we keep each other kind of data.

## License and restrictions

We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms. You are responsible for safeguarding any sign-in code we send you and for all activity in your conversation.

You may not reverse-engineer, decompile or attempt to derive source code from the Services; use bots, scripts or other automated means to start conversations, send messages, submit forms or make payments, or try to get around the limits on conversations, messages and calls; misrepresent AI-generated content as entirely human-authored where disclosure is legally required; copy the Services or use them to build a competing service; or violate any applicable law or intellectual property right.

## Your data and outputs

You retain all rights to your Inputs and Outputs. We do not claim ownership of your Outputs, but Outputs may not be unique and may contain material similar to that generated for others. Unless otherwise agreed in a customer agreement, you grant SmartExpert Inc. a limited, worldwide, royalty-free license to host, process and display your Inputs and Outputs for the purposes of providing and maintaining the Services; ensuring security, billing and analytics; and improving the Services, including by our team reviewing conversations and by using de-identified or aggregated data. You may opt out of having your data used for service improvement by contacting legal@contentbuilder.ai. We treat your Inputs and Outputs as your confidential information, except where publicly shared or required by law. Even so, do not send confidential source material through the website before a written agreement is in place.

## The first paid step, credits and prices

The first paid step can be bought in the chat with Elvina by card through Stripe. Start with any task. The first payment adds 12,000 credits for $30. Elvina estimates the work first, and you approve the scope and credit cost before production starts. Work starts after the payment is confirmed, by Stripe or by a person on the Elvina team, who also handles any payment issue. Other packs are invoiced by a person, and the first step does not start a subscription.

Credits cannot be exchanged for money. If Elvina makes an error in a material, she returns the credits charged for that material. The first revision of each material is free. These Terms do not yet set how long credits stay valid or whether unused credits carry over: ask Elvina or our team before you pay, and the rule you are given in writing applies to that purchase.

Prices on this website describe the public offer at the time of publication. The supported operations for your workflow, what consumes the monthly allowance, connection scope and service terms are confirmed before any subscription starts. Where a published price and a signed agreement differ, the agreement governs.

## How to read this website

Pages on this website describe Elvina as she is designed to work, including capabilities that are still being built. What you receive is what you agree with Elvina in the chat or with us in writing before you pay; a page description alone is not a promise that a capability is available today. Example scenarios, sample documents, named companies in examples and example cohorts are invented for this website and labeled as such. Calculator values are assumptions you enter and adjust; they are neither guaranteed savings nor a customer result. Third-party research is cited as market context, not as an Elvina outcome.

## Third-party services

The Services rely on third-party services, such as Stripe for payments, Calendly for call bookings, WhatsApp and Instagram for messages, and AI model providers for Elvina’s replies. We do not control them or assume responsibility for their performance, and you must comply with their terms when you use them. We may disable or change these integrations without notice for legal, security or technical reasons.

## Intellectual property

The Services, including all software, content, design, databases and branding, are owned by SmartExpert Inc. or its licensors and protected by intellectual property laws. Elvina is the public product name of SmartExpert Inc. Third-party names and trademarks are used only for identification and comparison and remain the property of their owners. No rights are transferred except those expressly granted in these Terms, and all rights not expressly granted are reserved.

## DMCA and copyright complaints

If you believe material within the Services infringes your copyright, send a notice to our DMCA Agent: SmartExpert Inc. (Legal Department), 690 Saratoga Ave, 1st floor, San Jose, CA 95129, United States; email legal@contentbuilder.ai. Your notice must include all elements required under the DMCA (17 U.S.C. § 512).

## Workspaces and shared materials

A Team workspace is activated by the Elvina team, and your customer agreement sets who owns workspace content, what administrators can see and how deletion works. Materials Elvina prepares for you can be shared with your team by link; you decide whom you give the link to. We are not responsible for recovering materials after you ask us to delete them.

## AI responsibility

You are solely responsible for how you use AI-generated Outputs. Review every material before your team uses it: Elvina can make mistakes, and the people who approve a material decide whether it is right for your business. Elvina does not make hiring or employment decisions; people on your side do.

You may not use Outputs to deceive or mislead others, impersonate individuals or entities, violate applicable laws, privacy or intellectual property rights, or generate or distribute harmful, defamatory or discriminatory content. We may use automated systems to detect or restrict misuse. The Services do not constitute professional advice (medical, legal, financial or otherwise).

## Beta and planned features

Features labeled "beta," "preview," "planned" or "coming next" are provided "as is," may contain errors, and may be modified or discontinued at any time. Use of such features is at your own risk.

## Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SmartExpert Inc. and its affiliates are not liable for any indirect, special, incidental, consequential or punitive damages (including loss of profits, data or goodwill), even if advised of the possibility. The total aggregate liability for any claim shall not exceed the greater of one hundred U.S. dollars or the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

## AI attribution and disclosure

You are responsible for complying with any applicable laws or platform rules that require disclosure that content was generated with AI or with Elvina. We may watermark or otherwise label AI-generated content for transparency or compliance purposes.

## Legal compliance and export controls

You may not use or export the Services in violation of U.S. export control laws or sanctions. We work to comply with the AI, privacy and consumer protection laws that apply to us, including the EU AI Act as its obligations take effect, the GDPR and the California CPRA.

## Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Except for small claims or intellectual-property disputes, all controversies shall be finally resolved by confidential arbitration under the AAA Consumer Arbitration Rules (https://www.adr.org/consumer), before one arbitrator in Santa Clara County, California. You may opt out of arbitration by emailing legal@contentbuilder.ai within 30 days of your first use of the Services. Class actions and representative proceedings are waived to the maximum extent permitted by law. A customer agreement may set its own dispute terms, which then govern that agreement. This section survives termination of these Terms.

## Changes to these Terms

We may update these Terms and will show the new "Last updated" date above. Material changes take effect 30 days after notice, given on this page and, where we have your email, by email. Continued use of the Services after that date constitutes acceptance of the revised Terms.

## Security measures

We maintain reasonable technical and organizational measures to protect your data against unauthorized access, disclosure or loss, consistent with industry practice. Our security page describes how data and approvals are handled in a pilot; it is not a certification.
